Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and KT Solutions ("Company," "we," "us," or "our") concerning your access to and use of the ktsolutions.in website and our services. By accessing or using our website and services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use our services.

Our Services

KT Solutions provides software development and IT consulting services, including but not limited to:

• Web application development
• Mobile application development (iOS and Android)
• Custom software solutions
• UI/UX design services
• SaaS product development
• Payment gateway integration
• Software consulting and technical advisory
• Website design and development

User Obligations

By using our services, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Use our services in compliance with all applicable laws
• Not engage in any fraudulent or illegal activities
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to our systems
• Respect intellectual property rights of KT Solutions and third parties
• Not use our services to transmit malicious code or content

Project Engagement Terms

Proposals and Contracts

Project engagements begin with a formal proposal or statement of work. Upon acceptance, a detailed contract will be executed outlining project scope, deliverables, timeline, payment terms, and responsibilities of both parties.

Project Scope

Changes to the agreed project scope must be requested in writing and may result in adjustments to timeline and cost. We reserve the right to decline scope changes that significantly alter the original agreement.

Client Responsibilities

Clients are responsible for:

• Providing timely feedback and approvals
• Supplying necessary content, assets, and information
• Ensuring availability of key stakeholders for meetings
• Making timely payments as per agreed schedule
• Providing access to required systems and environments

Payment Terms

Pricing and Fees

All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are subject to change, but we will notify you of any changes before they apply to your project. Custom quotes are valid for 30 days from the date of issue.

Payment Schedule

Payment schedules are defined in individual project contracts. Typical payment structures include upfront deposits, milestone-based payments, or monthly retainers. Late payments may incur interest charges and may result in suspension of services.

Refund Policy

Refunds are handled on a case-by-case basis and are subject to the specific terms outlined in your project contract. Generally, work completed up to the point of cancellation is non-refundable.

Intellectual Property Rights

Ownership of Deliverables

Upon full payment, clients receive ownership of the custom code and materials developed specifically for their project. However, KT Solutions retains ownership of pre-existing intellectual property, frameworks, libraries, and tools used in development.

License to Use

Third-party software, libraries, and components integrated into your project are subject to their respective licenses. You are responsible for compliance with these licenses.

Portfolio Rights

We reserve the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing. Confidential projects can be excluded upon request.

Confidentiality

We treat all client information with strict confidentiality. We will not disclose any confidential information to third parties without your explicit consent, except as required by law. Upon request, we can execute a separate Non-Disclosure Agreement (NDA) before project commencement.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. We will make reasonable efforts to correct any defects in our work during the warranty period specified in your contract.

Disclaimer

Our services are provided "as is" without any warranties beyond those explicitly stated in your contract. We do not guarantee uninterrupted or error-free service. We are not responsible for results achieved through use of our deliverables or for third-party content, services, or integrations.

Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the total amount paid by you for the specific service giving rise to the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for loss of profits, revenue, data, or business opportunities
• We shall not be liable for delays or failures due to circumstances beyond our reasonable control

Nothing in these Terms shall limit our liability for fraud, gross negligence, or matters that cannot be excluded by law.

Termination

Termination by Client

You may terminate services by providing written notice as specified in your contract. You remain obligated to pay for all work completed up to the termination date.

Termination by KT Solutions

We may terminate services immediately if you breach these Terms, fail to make payments, or engage in conduct that we reasonably believe violates laws or harms our reputation.

Effect of Termination

Upon termination, you must immediately pay all outstanding amounts. We will deliver completed work upon receipt of final payment. Provisions regarding confidentiality, intellectual property, and liability survive termination.

Support and Maintenance

Post-launch support and maintenance services are available through separate agreements. The scope, duration, and cost of support services are defined in the maintenance contract. Bug fixes during the warranty period are covered as per the project contract terms.

Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government actions, power failures, or internet service disruptions.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Palasa, Andhra Pradesh, India. Both parties agree to resolve disputes through good faith negotiations before resorting to legal action.

Indemnification

You agree to indemnify and hold harmless KT Solutions, its officers, employees, and partners from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with any project-specific contracts and agreements, constitute the entire agreement between you and KT Solutions regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
